XaaS is currently recruiting and building-out a highly experienced leadership team selected from our acquisition target management teams, shareholders, and board members. They will join our seasoned group of outstanding entrepreneurs, industry leaders, engineers, developers, corporate securities lawyers, investment advisors and bankers, private equity partners, CFOs and analysts, and marketing-sales experts who bring decades of experience in communications and software. All are deeply familiar with the opportunities, challenges, and burdens of cloud migration and digital transformation. 

  

We are creating blended teams of corporate operations managers, financial and legal professionals, public company compliance officers, systems, processes, and human resources integration experts, tech-heads, CX and UX creatives, developers, and problem-solvers who share our vision and desire to enable Everything Possible.

Highfill

Mr. Highfill is a 27-year wall street veteran and Buy-Sell-Side M&A Consultant. He is a specialist in Law Firm Mergers and a trusted advisor to AmLaw 200 and Fortune 500's Go-to-Law Firms. He is the Founder and Managing Partner of the internationally respected Merger Consulting Firm, LawMerge, LLC. Mr. Highfill is a successful early-stage investor having participated in ventures like Monster.com, Nextel, and Clearwire, both acquired by Sprint. More recently, he has made substantial investments in private telecommunications infrastructure providers, a large oceanfront development site, publicly-traded  UCaaS and CPaaS companies, and two successful SPACs. He has extensive expert-level experience in corporate and partnership structuring; capital formation;  M&A; Law Firm Mergers; Retained Executive Search; Human Resources Development and Allocation; Internet Technologies; Software Development; and Marketing & Business Development. He is a seasoned entrepreneur and visionary with a well-rounded background in numerous industry verticals. Prior to his merger consulting career, Mr. Highfill was an Investment Banker with Dean Witter Reynolds and Blackstock & Co., where he was responsible for identifying, evaluating, and assisting dynamic companies in industries and markets with high growth potential. He successfully guides owners, boards of directors, and management teams in the development of executable business plans and the successful IPO process. Working with the lead underwriter/book-runner teams, he was responsible for due diligence, assisting in the drafting of the prospectus, and developing roadshow presentations. He led a syndicated group in selling debt or equity securities to both institutional and retail investors. Mr. Highfill is a legal expert in drafting and negotiating stockholder agreements, partnership agreements, operating agreements, subscription agreements, side letters, management agreements, registration rights agreements, merger-business combination-reorganization-and plan of merger agreements, stock and asset purchase agreements, employment agreements, confidentiality agreements, and non-competition agreements. Mr. Highfill attended the New York Institute of Technology-Old Westbury for his B.B.S. in Information Technology and Marketing.

Mr. Foss is an experienced CEO and Board Member of several companies in the Telecom and ISP Industries, including VoIP, UCaaS, and high-speed Satelite Connectivity. He has over 15-years of experience and in-depth knowledge of these respected industries. He is effective at managing teams and operators with various responsibilities, including business development, negotiations, marketing, sales, and global planning for different companies and key account teams in carrier or retail and B2B. Mr. Foss has strong personable skills and a drive for hunting down and closing sales for new accounts and framing new sales team strategies. He has the ability and know-how to evaluate large scale business plans against financial feasibilities, strategies, and objectives. He can quantify and articulate associated business risks and plan actions for mitigation with senior leadership. He is accomplished and has demonstrated experience selling into telecom carriers, telecom aggregators, resellers, and technology companies. Most recently, Mr. Foss negotiated and closed a two-part financial transaction that included an MBO acquisition of ITELLUM with an Investment Bank, followed by the full acquisition of the ITELLUM brand and associated U.S. and Latin American infrastructure. Mr. Foss has extensive experience successfully negotiating with governments to secure concessions for the delivery of superior satellite internet solutions in Costa Rica. Mr. Foss attended Lynn University for his B.S. in International Business.

Mr. Al-khatatbeh is our Lead M&A Financial Analyst. He leads our M&A modeling and analysis, including valuations, business case, scenarios and synergies study, accretion/dilution analysis, and impact and sensitivity analysis to model various M&A outcomes. He is an experienced financial analyst. He is skilled in Microsoft Excel, Financial Risk Management, Forecasting, Modeling, Corporate Communications, Valuations, Operational Analysis, Investment Management, and Portfolio Management. He possesses Strong Analytical, Quantitative, Accounting, Tax, Financial Reporting, and Qualitative knowledge. He has strong professional and business acumen with a Master of Science - MS focused in Finance from The Johns Hopkins University - Carey Business School. he also earned an MBA with a focus in Finance from - Pacific University - College of Business and a BS in Finance from - Portland State University - School of Business.

Chief Network Software Strategist/Consultant 
Marco Valero Ph.D.

Mr. Valero is our Chief Network Software Strategist, Consultant, and Advisory Board Member. He directs our network and software planning, design,  development, integrations, and new product implementations. Mr. Valero is a Senior Manager of Software Engineering at Cox Communications. Formerly, He worked for Internap managing the Software Engineering (Sweng) Team responsible for developing and maintaining core products including the MIRO Controller, MIRO (Managed Internet Route Optimizer) FCP (Flow Control Platform) CDN, DNS, and Playstream. He invented and patented a new Route Optimization Engine to control data center traffic that is implemented widely in many environments today. He created the Managed Internet Route Optimizer (“MIRO”) system. He earned his M.S. and Ph.D. in Computer Science with a focus on network structures, security, and sensor networking from Georgia State University.
